The issues that arise in raising capital through the sales of newly issued securities, leveraged buy-outs, business mergers & acquisitions, spin-offs, split-ups and other such changes in the corporate capital structure can be divided into two major categories:  Method and Math.  In simple terms, Method encompasses how the transaction is best structured and Math involves the value determinations.  As a general rule, establishing values is the logical first step in determining whether or not the initial method contemplated for a particular transaction is the best alternative and whether or not the objectives can be achieved.
